1. Parties and Acceptance
These Terms of Use (the "Terms") govern the relationship between Sistemiya ("Sistemiya"), which provides the service, and the business that receives the service through sistemiya.com (the "Customer"). Creating an account or using the service means that these Terms are accepted.

2. Description of the Service
Sistemiya is a software (SaaS) service that answers customer messages received via Instagram DM and e-mail (and, once the WhatsApp and Facebook Messenger integrations are made available, via those channels as well) with Turkish-language AI, and creates and manages appointments. The service includes messaging integrations, AI-powered replies, calendar synchronisation and an operator panel with role-based access. Sistemiya reserves the right to continuously develop the service and to change its features to a reasonable extent.
In conversations with customers, the AI assistant states at the start of the conversation that it is an AI and hands the conversation over to a business representative when the customer asks. This behaviour is enforced at software level and cannot be turned off by the Customer. Ensuring that the replies produced by the assistant are consistent with the business's service definitions and working hours is the Customer's responsibility; Sistemiya does not undertake that every reply of the assistant will be error-free.
3. Account and Security
- The Customer is obliged to provide accurate and up-to-date information at sign-up.
- The Customer is responsible for account security and for operations carried out under the account; login details may not be shared.
- If unauthorised access is suspected, Sistemiya may temporarily suspend the account and inform the Customer.
- If the Customer creates an API key in the panel, the Customer is responsible for keeping it secret and for actions taken with it. When taking appointments through the API, informing its own customers about the processing of their personal data is the Customer's obligation.
4. Fees and Payment
- Current fees are published on the Pricing page.
- Prices are shown excluding VAT; the applicable 20% VAT is added separately on the invoice.
- The account opens on the Free plan. A Customer that has never paid may try a paid package free for 14 days once; at the end of the trial no charge is made unless a payment method is set up, and the account returns to the Free plan. A subscription whose paid period has ended or whose payment could not be collected also moves to the Free plan; data is not deleted.
- On the Free plan the panel, manual appointment entry, the booking page and the embeddable booking widget can be used; up to 50 online appointments per month can be received through the booking page, the widget and the API. The AI assistant, automated messages (except appointment reminders) and the voice assistant do not work on the Free plan. The booking page, the widget, the API and customer messages do not open until the Customer verifies with a document that it is a business or makes its first payment; this rule applies on every plan, including the trial. The booking page and the widget show a "with Sistemiya" notice. The scope of the Free plan is published on the Pricing page; Sistemiya may change it with the notice described in section 11.
- Subscription fees are collected in advance in Turkish lira according to the selected period (monthly or annual).
- Sales, cancellation and refund terms are governed by the Distance Sales Contract (in Turkish), the Preliminary Information Form (in Turkish) and the Cancellation and Refund Terms. These documents form an integral part of these Terms.
5. Acceptable Use
The Customer may not use the service to:
- Produce or distribute unlawful content.
- Send unauthorised bulk messages (spam) or unsolicited messages.
- Process third parties' personal data unlawfully.
- Reverse-engineer the service or attempt to circumvent security measures.
- Abuse system resources beyond reasonable use.
Anyone who believes that content published on the platform (e.g. a business storefront page, form or knowledge base content) is unlawful may report it to destek@sistemiya.com; the report is reviewed and content deemed necessary is removed.
6. Data Ownership and Privacy
- Data entered into the platform by the Customer belongs to the Customer.
- Sistemiya processes this data only to provide the service, in its capacity as data processor. Details of personal data processing are set out in the KVKK Privacy Notice and the Sub-processor List.
- When the service ends, the data is exported in machine-readable form within 30 days on request.
- The processing of personal data of the Customer's own customers is governed by the Data Processing Agreement (Annex 1), which is an annex to and integral part of these Terms. A signed copy can be requested via destek@sistemiya.com.
- The Customer's obligations. The Customer (i) enters its legal name, address and application e-mail completely in the panel, or defines a link to its own privacy notice, in order to inform its own customers under KVKK Art. 10, (ii) if it processes special categories of personal data (including health data), determines the legal ground under KVKK Art. 6 itself and does not upload special-category data to the knowledge base, (iii) assesses its VERBİS registration obligation according to its own scale and enters the recipients in the Sub-processor List in the transfer-abroad field of its registration, (iv) manages recipient consents and İYS records for bulk campaign and win-back messages itself; Sistemiya's permission filter does not remove the Customer's obligations under Law No. 6563.
- Instructions. These Terms, the Data Processing Agreement, the panel settings and the operations the Customer performs in the panel are the Customer's documented instructions. If Sistemiya considers an instruction to be contrary to the legislation, it informs the Customer.
7. Service Level
- Target availability: 99.5% per month (Starter (Başlangıç) and Professional (Profesyonel) plans). For the Enterprise (Kurumsal) plan, a separate service level commitment may be agreed by contract.
- Efforts are made to announce planned maintenance by e-mail a reasonable time in advance.
8. Intellectual Property
The Sistemiya brand, software, interface and content belong to Sistemiya. These Terms grant the Customer only a right to use the service; they do not include any transfer of intellectual property rights.
9. Limitation of Liability
To the extent permitted by applicable law, Sistemiya's total liability is limited to the total fees paid by the Customer in the 12 months before the claim. Sistemiya cannot be held liable for indirect damages, loss of profit or losses arising from outages of third-party services (messaging, payment, calendar providers).
10. Termination of the Agreement
- The Customer may end its subscription from the panel at any time.
- In case of breach of the Terms, Sistemiya may terminate the agreement after giving the Customer a reasonable period; the right to suspend immediately in urgent security situations is reserved.
11. Changes
Sistemiya may update these Terms. Significant changes are announced by e-mail or panel notification a reasonable time before they take effect. Using the service after the change means acceptance of the current Terms.
12. Governing Law and Competent Court
These Terms are governed by the law of the Republic of Türkiye.
- If the Customer is a consumer: within the monetary limits announced each year by the Ministry of Trade, the Consumer Arbitration Committees and Consumer Courts at the Customer's place of residence or where the transaction was made are competent.
- If the Customer is a merchant or tradesperson: the courts and enforcement offices of the place where Sistemiya's head office is located are competent.
